Mirkado Terms and Conditions

Welcome to Mirkado.

These Terms and Conditions govern your access to and use of the Mirkado website, mobile application, marketplace, and related services (collectively, the “Platform”).

Mirkado is a digital marketplace established in Ghana with the ambition of connecting businesses and customers across Ghana and, progressively, across Africa. The Platform enables businesses and other approved sellers to display, market, offer, and sell products and services to customers.

By accessing, registering for, or using Mirkado, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you should not use the Platform.

1. About Mirkado

Mirkado is a marketplace platform that facilitates connections between buyers and sellers.

Unless expressly stated otherwise, Mirkado is not the manufacturer, owner, importer, distributor, or seller of products listed by independent sellers on the Platform.

A contract for the sale of a product or service is generally between the relevant seller and the buyer. Mirkado provides the digital infrastructure and marketplace services that facilitate that transaction.

Mirkado may provide additional services, including payment facilitation, order management, delivery coordination, customer support, seller verification, promotional services, advertising, and other marketplace-related services.

2. Definitions

For these Terms:

“Buyer” means a person or organisation purchasing or attempting to purchase a product or service through the Platform.

“Seller” means a business, individual, organisation, or other approved entity offering products or services through Mirkado.

“User” means any person accessing or using the Platform, including Buyers and Sellers.

“Mirkado,” “we,” “us,” or “our” means Mirkado and, where applicable, its affiliates, employees, agents, representatives, and authorised service providers.

“Product” means any physical or digital product, service, item, or offering listed on the Platform.

“Order” means a request submitted by a Buyer to purchase a Product from a Seller.

“Platform” means the Mirkado website, application, marketplace, software, systems, communications channels, and related services.

3. Eligibility

You may use Mirkado only if you are legally capable of entering into a binding agreement under the laws applicable to you.

If you create an account or conduct transactions on behalf of a business or organisation, you confirm that you have the authority to bind that business or organisation to these Terms.

Mirkado may restrict or refuse access to the Platform where necessary to comply with applicable law, protect Users, prevent fraud or abuse, or protect the integrity of the Platform.

4. User Accounts

Certain features of Mirkado may require you to create an account.

You agree to:

• provide accurate, current, and complete information;

• keep your account information up to date;

• maintain the confidentiality of your login credentials;

• take reasonable steps to prevent unauthorised access to your account; and

• notify Mirkado promptly if you believe your account has been compromised.

You are responsible for activity conducted through your account unless the activity resulted from circumstances for which you are not legally responsible.

Mirkado reserves the right to suspend, restrict, or terminate accounts that contain false information, are used fraudulently, or otherwise violate these Terms.

5. Marketplace Listings

Sellers are responsible for ensuring that their listings are accurate, lawful, complete, and not misleading.

A Seller must provide accurate information regarding, where applicable:

• product name and description;

• price;

• quantity or availability;

• specifications;

• condition;

• images;

• applicable warranties;

• delivery information;

• return or refund conditions; and

• any material limitations or restrictions.

Mirkado may review, modify, reject, restrict, or remove listings that violate these Terms, applicable law, marketplace policies, or Mirkado's standards.

Mirkado does not guarantee that every listing, Seller, Product, review, or piece of information appearing on the Platform is accurate or independently verified.

6. Seller Responsibilities

Sellers are responsible for the Products and services they offer through Mirkado.

Each Seller agrees to:

• comply with all applicable laws and regulations;

• have the legal right to sell the Products listed;

• provide genuine and accurately described Products;

• comply with applicable product safety and quality requirements;

• honour accepted Orders;

• provide Products within the stated delivery period;

• handle returns, refunds, warranties, and after-sales obligations as required;

• maintain appropriate records of transactions;

• pay applicable taxes and government charges;

• avoid deceptive, fraudulent, or unfair commercial practices; and

• comply with Mirkado's seller policies and marketplace standards.

Where a Product requires a licence, permit, certification, registration, or other regulatory approval, the Seller is responsible for obtaining and maintaining it.

Mirkado may request evidence of a Seller's identity, business registration, licences, certifications, product ownership, or other information before allowing a Seller to list or continue selling Products.

7. Prohibited Products and Activities

Users must not use Mirkado to offer, sell, purchase, promote, distribute, or facilitate Products or activities that are illegal or prohibited under applicable law or Mirkado's policies.

Prohibited activities include, but are not limited to:

• fraud or attempted fraud;

• counterfeit or stolen goods;

• stolen personal information or financial information;

• illegal drugs or controlled substances;

• unlawful weapons or prohibited items;

• products that infringe intellectual-property rights;

• misleading or deceptive listings;

• money laundering or terrorist financing;

• unauthorised financial services;

• malicious software or harmful digital content;

• trafficking or exploitation;

• transactions intended to circumvent applicable laws or regulations; and

• any other activity prohibited by applicable law.

Mirkado may remove prohibited listings and suspend or terminate accounts associated with prohibited activities.

8. Product Availability and Pricing

Sellers are responsible for the availability and pricing of their Products.

Prices displayed on Mirkado should be accurate at the time of listing. However, errors may occur.

Where an obvious pricing, description, availability, or technical error occurs, Mirkado or the Seller may cancel the affected Order and, where payment has already been made, arrange an appropriate refund in accordance with applicable law and the relevant payment terms.

Unless expressly stated otherwise, prices may exclude delivery charges, applicable taxes, customs duties, levies, or other charges.

For cross-border transactions, the Buyer may be responsible for applicable import duties, customs charges, taxes, and related costs unless the listing expressly states otherwise.

9. Orders and Acceptance

Submitting an Order constitutes an offer by the Buyer to purchase the selected Product.

An automated acknowledgement of an Order does not necessarily mean that the Order has been accepted.

An Order may be accepted when the Seller or Mirkado, as applicable, confirms the Order or begins processing it.

An Order may be rejected or cancelled where:

• the Product is unavailable;

• the listing contained a material error;

• payment cannot be successfully processed;

• fraud or suspicious activity is detected;

• delivery is not reasonably possible;

• the transaction would violate applicable law; or

• circumstances beyond reasonable control prevent fulfilment.

Where an Order is cancelled after payment, any applicable refund will be processed according to the applicable refund and payment procedures.

10. Payments

Mirkado may support payment through third-party payment providers and other payment methods made available on the Platform.

By submitting payment information, you confirm that you are authorised to use the relevant payment method.

Mirkado does not generally store complete payment-card information where payment processing is handled by an authorised third-party payment provider.

Payment providers may have their own terms and privacy policies, and Users may be required to accept those terms.

Mirkado may place payments on hold, delay settlement, reverse transactions, or take other reasonable measures where fraud, disputes, regulatory requirements, chargebacks, or other legitimate concerns arise.

11. Mirkado Fees and Seller Charges

Mirkado may charge Sellers commissions, listing fees, subscription fees, advertising fees, transaction fees, payment-related charges, fulfilment charges, or other marketplace fees.

Applicable fees will be communicated to Sellers through the Platform, seller agreement, pricing page, or other appropriate notice.

Mirkado may change its fees by providing reasonable notice where required.

Unless otherwise stated, fees owed to Mirkado may be deducted from amounts payable to the Seller or charged separately.

Sellers remain responsible for taxes applicable to their income, sales, transactions, or business activities.

12. Delivery and Fulfilment

Delivery may be handled by Sellers, Mirkado, third-party logistics providers, or other delivery partners.

Delivery estimates are provided for convenience and may be affected by circumstances beyond reasonable control.

The Seller remains responsible for properly preparing and dispatching an Order unless Mirkado or a designated logistics provider has expressly assumed that responsibility.

For international or cross-border Orders, additional customs, import, export, regulatory, or logistical requirements may apply.

Mirkado does not guarantee that every Product can be legally delivered to every country or location.

13. Returns, Refunds, and Cancellations

Returns, refunds, replacements, and cancellations may depend on the Product, Seller, applicable law, and reason for the request.

Sellers must comply with applicable legal obligations concerning refunds, returns, warranties, defective Products, misrepresentation, and consumer rights.

Mirkado may establish marketplace-wide return and refund procedures to facilitate the resolution of disputes.

A Product may be ineligible for return where applicable law permits exclusion, including certain personalised, perishable, digital, hygienic, or otherwise non-returnable Products.

Nothing in these Terms is intended to remove or restrict a legal right that cannot lawfully be excluded.

14. Disputes Between Buyers and Sellers

Mirkado encourages Buyers and Sellers to resolve transaction issues directly and in good faith.

Where a dispute cannot be resolved, Mirkado may provide a dispute-resolution process.

Mirkado may review relevant transaction information and may request evidence from either party.

Depending on the circumstances, Mirkado may:

• facilitate communication;

• request additional evidence;

• temporarily hold funds where its payment arrangements permit;

• require a Seller to provide a refund or replacement where appropriate;

• remove a listing;

• restrict a User's account; or

• take other reasonable marketplace-management measures.

Mirkado's involvement in a dispute does not make Mirkado a party to the underlying sale unless expressly agreed otherwise.

15. Reviews and Ratings

Mirkado may allow Users to submit ratings, reviews, photographs, comments, and other feedback.

Reviews must reflect genuine experiences.

Users must not:

• submit false or misleading reviews;

• submit reviews in exchange for improper incentives;

• impersonate another person;

• manipulate ratings;

• post defamatory, abusive, discriminatory, or unlawful material; or

• use reviews to advertise unrelated products or services.

Mirkado may remove or restrict content that violates these Terms or applicable law.

16. User Content

Users may submit product photographs, videos, reviews, comments, logos, descriptions, documents, and other content to the Platform.

You retain ownership of your content.

However, by submitting content to Mirkado, you grant Mirkado a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, adapt, distribute, and use that content for operating, promoting, improving, and developing the Platform and its services.

You confirm that you have the necessary rights to submit the content and that its use by Mirkado will not unlawfully infringe another person's rights.

17. Intellectual Property

Mirkado and its licensors own or control the intellectual property associated with the Platform, including its software, design, branding, logos, graphics, interfaces, text, databases, and other original materials, except for content submitted by Users or content belonging to third parties.

The name Mirkado, its logos, branding, and related marks may not be copied, reproduced, modified, or used commercially without prior written permission.

Nothing in these Terms transfers ownership of Mirkado's intellectual property to a User.

18. Seller Intellectual Property

Sellers retain ownership of their trademarks, product photographs, logos, descriptions, and other intellectual property, subject to the licence granted under these Terms.

Sellers must not list or sell Products that infringe the intellectual-property rights of another person.

Mirkado may remove content where it receives a credible complaint or otherwise reasonably believes that intellectual-property rights have been infringed.

19. Privacy and Personal Data

Mirkado may collect and process personal information in connection with account creation, Orders, payments, delivery, customer support, fraud prevention, marketing, and operation of the Platform.

Mirkado will process personal data in accordance with applicable data-protection laws and its Privacy Policy.

Users should review Mirkado's Privacy Policy for information about:

• the information Mirkado collects;

• how personal information is used;

• circumstances in which information may be shared;

• data retention;

• marketing communications;

• cookies and similar technologies; and

• applicable data-subject rights.

Users should not submit another person's personal information unless they have the lawful authority to do so.

20. Electronic Communications

By using Mirkado, you consent to receiving electronic communications relating to your account, Orders, transactions, security, customer service, and other Platform activities.

Where legally permitted, electronic communications may satisfy legal requirements for written communication.

Users may receive promotional communications where they have provided the required consent or where otherwise permitted by applicable law.

21. Third-Party Services

Mirkado may integrate with third-party services, including payment providers, logistics companies, identity-verification providers, communication platforms, mapping services, analytics providers, and other technology providers.

Third-party services may be subject to separate terms and privacy policies.

Mirkado is not responsible for the independent acts, omissions, availability, policies, or performance of third-party services, except to the extent required by applicable law.

22. Platform Availability

Mirkado aims to provide a reliable and accessible Platform but does not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

Access may occasionally be suspended or restricted because of:

• maintenance;

• upgrades;

• technical failures;

• cybersecurity incidents;

• telecommunications failures;

• infrastructure problems;

• regulatory requirements; or

• circumstances beyond Mirkado's reasonable control.

23. Fraud Prevention and Security

Mirkado may use automated and manual measures to detect and prevent fraud, abuse, suspicious transactions, account compromise, and other harmful activity.

Mirkado may request additional information or verification before completing certain transactions.

Mirkado may suspend or restrict an account while investigating suspected fraud, abuse, or unlawful activity.

Users must not attempt to bypass Mirkado's security systems or interfere with the operation of the Platform.

24. Disclaimer

To the extent permitted by applicable law, Mirkado provides the Platform on an “as available” basis.

Mirkado does not guarantee that:

• every Seller is reliable;

• every Product is authentic or suitable for a particular purpose;

• Product descriptions are always error-free;

• every transaction will be completed;

• delivery will occur within a particular timeframe; or

• the Platform will always operate without interruption or error.

Nothing in these Terms excludes a legal guarantee, warranty, or consumer right that cannot lawfully be excluded.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Mirkado will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of the Platform or a transaction between a Buyer and Seller.

Mirkado's liability, where legally permitted to be limited, will be limited to the amount paid by the relevant User to Mirkado for the specific service giving rise to the claim during the applicable period, or another amount required by applicable law.

Nothing in these Terms excludes or limits liability for matters that cannot lawfully be excluded or limited.

26. Indemnification

To the extent permitted by applicable law, a User agrees to indemnify and hold Mirkado and its officers, employees, agents, affiliates, and service providers harmless from claims, losses, liabilities, damages, costs, and expenses arising from:

• the User's breach of these Terms;

• unlawful use of the Platform;

• fraudulent or deceptive conduct;

• infringement of another person's intellectual-property rights;

• violation of applicable law; or

• content or Products supplied by the User.

27. Account Suspension and Termination

Mirkado may suspend, restrict, or terminate access to the Platform where reasonably necessary, including where a User:

• breaches these Terms;

• engages in fraud or suspected fraud;

• provides false information;

• violates applicable law;

• repeatedly fails to fulfil transactions;

• infringes another person's rights;

• abuses other Users; or

• creates a security, legal, financial, or reputational risk for Mirkado or its Users.

Users may stop using the Platform at any time.

Termination does not automatically cancel obligations or rights that arose before termination.

28. Cross-Border Transactions

Mirkado's long-term marketplace vision includes facilitating trade between businesses and customers across African markets.

Cross-border transactions may be subject to the laws and requirements of multiple jurisdictions, including rules relating to customs, importation, exportation, taxation, product standards, licensing, consumer protection, currency, payments, sanctions, and restricted Products.

The Seller is responsible for ensuring that Products offered for cross-border sale comply with applicable requirements.

The Buyer is responsible for providing accurate delivery and identification information and, where applicable, paying customs duties, import taxes, or other charges associated with the transaction.

Mirkado does not guarantee that a particular Product may be legally imported into a particular country.

29. Compliance With Applicable Laws

Users must comply with all laws and regulations applicable to their use of Mirkado and their transactions.

This includes, where applicable, laws relating to electronic transactions, taxation, consumer protection, product safety, intellectual property, privacy and data protection, customs, imports and exports, financial transactions, advertising, and business registration.

Mirkado may cooperate with competent authorities where legally required or reasonably necessary to prevent or investigate unlawful activity.

30. Changes to These Terms

Mirkado may update these Terms from time to time.

Where material changes are made, Mirkado may provide reasonable notice through the Platform, email, or another appropriate communication method.

The updated Terms will take effect on the date stated in the updated version.

Your continued use of Mirkado after the effective date constitutes acceptance of the updated Terms to the extent permitted by applicable law.

31. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana, unless applicable law requires otherwise.

The parties should first attempt to resolve disputes through good-faith negotiation.

Where a dispute cannot be resolved through negotiation, it may be submitted to the courts or another lawful dispute-resolution mechanism in Ghana, subject to any mandatory rights or procedures applicable to the relevant User or transaction.

Nothing in this clause prevents a consumer from exercising a mandatory legal right available in the consumer's jurisdiction.

32. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be modified or removed to the minimum extent necessary, while the remaining provisions will continue in effect.

33. No Waiver

Mirkado's failure to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.

34. Entire Agreement

These Terms, together with any policies, guidelines, Seller agreements, marketplace rules, Privacy Policy, and other terms expressly incorporated by reference, constitute the agreement governing your use of Mirkado.

Where a specific Mirkado service has separate terms, those terms will apply to that service to the extent of any inconsistency.

35. Assignment

Users may not transfer their rights or obligations under these Terms without Mirkado's prior written consent, except where such transfer is permitted by law.

Mirkado may transfer or assign its rights and obligations as part of a merger, acquisition, restructuring, sale of assets, or other corporate transaction.

37. Acceptance

By creating an account, placing an Order, listing a Product, or otherwise using Mirkado, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
